Welcome to SellEasy. These Terms and Conditions govern access to and use of the website, platform, software, features, integrations, and related services offered by SellEasy. By accessing, browsing, registering, or using SellEasy, you agree to be bound by these Terms. If you do not agree with them, you should not use our services.

Service & Nature
1.Service Description
SellEasy is an intelligent operating system for businesses, powered by a suite of specialized AI agents that automate critical areas of business operations through messaging channels such as WhatsApp, Instagram, Messenger, and web chat. SellEasy currently operates with the following agents: • Sales Agent: An AI-powered virtual salesperson that applies proven sales techniques, answers product inquiries, performs visual search from customer-sent images, recommends products, manages shopping carts, and assists in closing sales. It learns the business's vocabulary, tone, and selling style by training with real WhatsApp conversation history. • Financial Agent: Analyzes business operations in real time, generates intelligent reports, and continuously trains with the business's transactional data. • Marketing Agent (coming soon): Campaigns and growth automation. • Logistics Agent (coming soon): Shipping and delivery management. For digital businesses, SellEasy integrates natively with Shopify (and soon WooCommerce), syncing catalogs, inventory, and orders in real time. For traditional businesses without existing digital infrastructure, SellEasy includes its own built-in CRM and ERP system. The platform operates on a credit-based system that monitors every AI call within the runtime, giving businesses precise control over their consumption. Important: although SellEasy can automate a significant part of the commercial flow, final sale confirmation requires human validation or approval, according to the client's operational configuration.
2.Assisted Nature of the Service
SellEasy functions as a commercial support and automation tool. The service does not completely replace human supervision nor does it operate as an autonomous system for definitive sales closure without client control. The user acknowledges and accepts that: • All sales must be reviewed and confirmed by an authorized person from the business, when required by the configured operation • SellEasy can generate drafts, proposals, responses, summaries, preliminary orders, or commercial information, but this does not by itself constitute a definitive sale • The user business is responsible for verifying price, stock, delivery conditions, buyer identity, payment method, availability, and any other relevant data before approving the transaction
3.Human Confirmation of Sale
The user acknowledges that SellEasy is designed to assist and automate the commercial process, but that final sale confirmation must be made by an authorized person from the business, unless expressly agreed otherwise in writing. Consequently: • An automated conversation does not by itself constitute a final irrevocable acceptance of the order • The generation of a preliminary order, suggested order, or purchase intention does not imply automatic completion of the sale • The user business is solely responsible for approving, rejecting, modifying, or confirming the final sale • Any commercial, financial, operational, logistical, or anti-fraud validation corresponds to the user business
4.Response Accuracy and Automation
SellEasy may use artificial intelligence models, automated rules, and integrated data to generate responses, recommendations, and assisted actions. Although we strive to provide a useful and reliable service, the user accepts that: • Automated responses may contain errors, omissions, ambiguities, or outdated information • Results may depend on the quality of data provided by the client or third parties • We do not guarantee absolute accuracy, continuous availability, or specific commercial results • Human supervision is always recommended, especially before confirming sales, commercial conditions, charges, delivery times, order changes, or commitments to end customers
Account & Access
5.Eligibility and Authorized Use
To use SellEasy, you must have sufficient legal capacity to contract and bind yourself according to applicable law. You may only use SellEasy for lawful commercial purposes and in accordance with these Terms. You agree not to use the platform for: • Illegal, fraudulent, or deceptive activities • Spam or abusive messaging • Phishing, identity theft, or deceptive manipulation • Uploading or transmitting illegal, offensive content, or content that infringes third-party rights • Interfering with the security, integrity, or availability of the platform • Attempting to access systems, accounts, or data without authorization • Reselling, sublicensing, or improperly exploiting the service without written authorization
6.Account and Credentials
If an account is required to use the service, you agree to: • Provide truthful, current, and complete information • Maintain the confidentiality of your credentials • Be responsible for all activity that occurs under your account • Notify us immediately of any unauthorized access or security incident We reserve the right to suspend or limit accounts when we detect misuse, security risk, contractual breach, or possible legal violation.
7.Age Restriction
SellEasy is intended for use by businesses and individuals who are at least 18 years old (or the age of majority in their jurisdiction). By using SellEasy, you represent that you meet this age requirement. If you are using SellEasy on behalf of a business, you represent that you have the authority to bind that business to these Terms. SellEasy is not directed to individuals under the age of 16. We do not knowingly collect or process personal data from minors. If we become aware that a minor has used the service, we will take appropriate steps to remove their data.
Data & Integrations
8.Store Data and Integrations
To operate correctly, SellEasy may integrate with business data and systems, including, as applicable: • Product catalogs • Prices • Inventory or stock • Customer data • Orders • Messaging systems • CRMs, ERPs, ecommerce, or management software • Payment, logistics, or support tools The client is responsible for having authorization to use and share such data with SellEasy, keeping connected information updated, reviewing that integrated information is correct, and ensuring that third-party integrations are lawful and properly configured. SellEasy does not guarantee that third-party systems will function without interruptions, errors, restrictions, or compatibility changes.
9.Client User Responsibility
The client using SellEasy is solely responsible for: • Defining their commercial policies • Validating prices, promotions, stock, and conditions • Reviewing orders before confirming them • Verifying identity, payment method, and delivery data when applicable • Complying with consumer protection, e-commerce, advertising, privacy, and data processing laws • Adequately informing their customers when they interact with automated or AI-assisted systems • Managing the human component of final sales approval
10.User Content and Data
The user retains, to the extent applicable, rights to the information, documents, knowledge bases, catalogs, images, texts, conversations, and other content they upload or connect to the service. However, the user grants SellEasy a non-exclusive authorization to host, process, transmit, organize, and use such data to the extent necessary to provide the service, operate contracted features, maintain security and support, and improve the technical and operational performance of the system. The user declares that they possess all rights, permissions, and legal bases necessary to use such content and data.
11.Privacy and Data Protection
Use of SellEasy is also subject to our Privacy Policy, available on the website. The user acknowledges that, depending on the context, SellEasy may act as a technology provider, data processor, or service provider, while the user business will be responsible for having sufficient legal basis to collect and process data from their end customers.
Plans, Payments & Credits
12.Plans, Pricing, and Payments
Use of SellEasy may be subject to paid plans, subscriptions, implementation fees, integration charges, or other commercially disclosed costs. Unless otherwise agreed in writing: • Prices may be updated at any time with prospective effect • Payments must be made on the indicated dates • Failure to pay may result in suspension or cancellation of the service • Amounts paid are non-refundable, except when required by applicable law or expressly agreed otherwise in writing • Applicable taxes, if any, will be borne by the client
13.Credits and AI Usage System
SellEasy operates on a credit-based system. Each interaction that involves an artificial intelligence call within the platform runtime consumes credits. This includes, but is not limited to: • Sales agent conversations (interpreter and composer calls) • Financial agent analyses and reports • Visual search and image analysis • Embedding generation for product catalogs • Any other AI-powered feature within the platform The base plan includes a set number of credits per billing cycle. Additional credits can be purchased through recharge packs. Credits included in the base plan reset at the beginning of each billing cycle. Purchased credits do not expire. When credits are exhausted, AI features may be limited or unavailable until credits are replenished or the billing cycle resets. SellEasy reserves the right to adjust credit costs per operation to reflect changes in underlying AI provider pricing.
Ownership & Platforms
14.Intellectual Property
All rights to the SellEasy platform, including software, design, structure, interface, features, documentation, brand, logos, content, and technology, belong to SellEasy or its licensors. These Terms do not transfer any intellectual property rights to the user, except for a limited, revocable, non-exclusive, and non-transferable license to use the service in accordance with these Terms. It is prohibited to: • Copy, modify, or create derivative works of the software • Decompile or reverse engineer, except where expressly permitted by law • Use SellEasy's trademarks, trade name, or identity elements without authorization
15.Use of Messaging Platforms (WhatsApp, Instagram, Messenger)
SellEasy integrates with messaging platforms operated by Meta Platforms, Inc., including WhatsApp, Instagram, and Facebook Messenger. When using SellEasy through these channels, you agree to: • Comply with Meta's Platform Terms, Developer Policies, and applicable messaging policies • Not send spam, unsolicited messages, or promotional content outside of permitted messaging windows • Clearly disclose to your end customers that they may be interacting with an automated AI assistant at the beginning of any conversation or when transitioning from human to automated interaction • Not use the messaging integration for illegal, deceptive, or abusive purposes • Respect Meta's data handling requirements and not request or store restricted data beyond what is necessary for the service SellEasy is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc. We act as a technology provider that facilitates communication through Meta's messaging infrastructure. Meta's own terms of service and privacy policies apply to the use of their platforms.
16.Third-Party Services and Integrations
SellEasy may interoperate with third-party services, including messaging platforms, ecommerce, payments, logistics, analytics, CRM, or other external tools. We do not control or guarantee: • The continuity of those services • Changes in APIs or technical conditions • Restrictions imposed by third parties • Delays, errors, or unavailabilities external to SellEasy Use of those services may also be subject to each third party's own terms and policies.
17.Service Availability
We will make reasonable efforts to keep the platform available. However, SellEasy is offered "as is" and "as available." We do not guarantee that the service will be uninterrupted, error-free, or completely secure at all times. There may be outages, maintenance, updates, technical limitations, or interruptions due to internal or external causes.
Legal & Liability
18.Warranty Disclaimer
To the maximum extent permitted by law, SellEasy excludes all express or implied warranties, including warranties of merchantability, fitness for a particular purpose, availability, accuracy, compatibility, or non-infringement. In particular, we do not guarantee: • That the service will generate sales, increase revenue, or improve conversions • That every automated response will be correct • That every suggested order will be valid or executable • That the platform will prevent losses, fraud, or human errors • That the system will operate without human intervention or review
19.Limitation of Liability
To the maximum extent permitted by law, SellEasy shall not be liable for indirect, incidental, special, punitive, or consequential damages, nor for loss of revenue, sales, customers, opportunities, reputation, data, or profits arising from the use or inability to use the service. Likewise, SellEasy shall not be liable for errors in data provided by the client or third parties, commercial decisions made by the user, unconfirmed sales, misinterpreted orders or unapproved preliminary orders, failures of external platforms, misuse of the service by the client or its operators, or errors or omissions in automated responses. In any case, SellEasy's total cumulative liability to the user shall not exceed the amount actually paid by the user to SellEasy during the three (3) months prior to the event giving rise to the claim, unless applicable law requires otherwise.
20.Indemnification
You agree to defend, indemnify, and hold harmless SellEasy, its officers, employees, affiliates, and collaborators against claims, damages, liabilities, costs, and expenses arising from: • Your use of the service • Your breach of these Terms • The information, data, or content you upload • Violation of third-party rights • Legal, regulatory, or contractual violations related to your commercial operation
21.Suspension and Termination
We may suspend, restrict, or terminate access to the service, with or without reasonable prior notice when: • There is a breach of these Terms • There is non-payment • We detect legal, technical, or security risk • There is abusive, fraudulent, or illegal use • It is necessary to protect the platform, third parties, or SellEasy The user may also stop using the service according to the commercial conditions applicable to their plan or contract.
22.Force Majeure
SellEasy shall not be liable for any failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including but not limited to: natural disasters, acts of government, pandemic, internet or telecommunications failures, power outages, cyberattacks, changes in third-party platform policies or APIs, or any other event that is unforeseeable or unavoidable. In such events, SellEasy's obligations will be suspended for the duration of the force majeure event, and reasonable efforts will be made to resume service as soon as practicable.
23.Service and Terms Modifications
We reserve the right to modify, update, replace, or discontinue parts of the service at any time. We may also modify these Terms. The current version will be the one published on the website with its corresponding update date. Continued use of the service after publication of changes will constitute acceptance of the updated Terms.
24.Governing Law and Jurisdiction
These Terms shall be governed by the laws of the United Arab Emirates. Any dispute related to these Terms or the use of the service shall be submitted to the jurisdiction of the competent courts of Dubai, United Arab Emirates, unless mandatory legal provisions provide otherwise.
25.Data Deletion and User Rights
You have the right to request the deletion of your personal data at any time. For detailed instructions on how to exercise this right, including data access, correction, portability, and deletion, please refer to our Privacy Policy available at https://selleasy.lat/privacy. Upon account termination, we will delete or anonymize your data within a reasonable timeframe, except where retention is required by law or for legitimate business purposes as described in our Privacy Policy. For end customers who interacted with a business through messaging platforms: you may contact the business directly or reach out to us at selleasy@noetictechnologies.org to request data deletion.
26.Entire Agreement
These Terms and Conditions, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and SellEasy regarding the use of the service. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The failure of SellEasy to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
